Terms of Service

1. Services

Stadics provides ad creative design services including but not limited to: campaign creative, creative strategy, growth retainers, and AI-powered ad generation tools. All services are subject to the terms outlined in individual project agreements.

2. Engagement & Payment

Projects begin upon receipt of a signed agreement and initial payment. Payment terms:

• Campaign Creative: 100% due before project kickoff
• Growth Retainer: Monthly billing, due at start of each cycle
• AI Engine: Annual license, billed upfront or quarterly

All prices are in USD. Late payments may incur a 1.5% monthly fee.

3. Intellectual Property

Upon full payment, all final deliverables are assigned to the client with full commercial usage rights. Stadics retains the right to showcase work in its portfolio unless a non-disclosure agreement is in place. Source files, working documents, and proprietary systems (including the AI Engine) remain the intellectual property of Stadics.

4. Revisions & Scope

Campaign Creative includes two (2) rounds of revisions. Additional revisions beyond the included rounds are billed at $150/hour. Significant changes to project scope or creative direction after kickoff may require a revised agreement and additional fees.

5. AI Engine License

The AI Engine product is licensed, not sold. Your license grants non-exclusive, non-transferable access to generate ad creatives using our system trained on your brand. You own all creative outputs generated during your license term. The underlying technology, models, and systems remain the sole property of Stadics.

6. Confidentiality

Both parties agree to treat all non-public business information exchanged during the engagement as confidential. This includes creative briefs, strategic documents, performance data, and proprietary business information. This obligation survives termination of services.

7. Limitation of Liability

Stadics provides creative services on an as-is basis. We do not guarantee specific advertising performance outcomes, conversion rates, or revenue increases. Our total liability for any claim arising from services shall not exceed the total fees paid for the specific project in question.

8. Termination

Either party may terminate a retainer engagement with 30 days written notice. Campaign projects in progress may be cancelled with payment for work completed. AI Engine licenses may be cancelled with prorated refund for unused annual periods.

9. Governing Law

These terms are governed by the laws of the State of Florida. Any disputes shall be resolved through binding arbitration in Orlando, FL.
